The Club’s Constitution & Bylaws (C&BL)

A C&BL is suppose to be the basic foundation upon which an organized unit stands. To let this foundation turn weak is to put the organizational unit in peril. Make this foundation solid then the unit becomes strong. The proper attitude therefore is to regularly maintain and update this basic foundation.

On Matters of Membership Dues

Due dates and deadlines are two different terms with distinct implications as far as membership dues is concerned. While due dates refers to July 10th and January 10th, deadlines on the other hand refers to September 10th and March 10th. The due date toggles carrying charges, the deadline toggles status quo procedures. As a matter of policy, the club treasurer is required to remit in advance the corresponding membership dues (not to wait for statement of account).

On Club Meetings

A club meeting must be called to order precisely on time as scheduled, with or without quorum and adjourned on or before the scheduled time finished or not finished. The only business that can be legally taken up in the absence of quorum is the motion to recess while waiting for quorum to exist or to adjourn. The most important thing is that the meeting transpired although is has to adjourn due to lack of quorum.

Club Committees at Work

The committees if allowed to function enhances the strenght of a club. The common blunder of a person on the helm is  taking over the duties of a committee chair. This is not good management practice. A committee must be given ample time to do its work. If necessary, in order to expedite process, may convene a meeting of the “committee of the whole” with the approving body. A committee of the whole meeting is presided over by the chairperson of the concerned committee (not the president) though the president is an adhoc member of the committee.
